Phil Horlock Phil Horlock has been Blue Bird's President and CEO since April 2011. Prior to this appointment, Mr. Horlock served as Blue Bird's CFO and Chief Administrative Officer, starting in January 2010. Before joining Blue Bird, Mr. Horlock spent over 30 years with Ford Motor Company, where he held senior executive positions in Finance and Operations worldwide. His last three positions with Ford were Chairman & CEO of Ford Motor Land Development, Controller of Corporate Finance, and CFO Ford Asia Pacific & Africa. While at Ford, Mr. Horlock served on the Advisory Board of Mazda Motor Corporation and was previously a director on the board of LoJack Corporation. Mr. Horlock holds a Bachelor of Science in Psychology and Mathematics from Sheffield University in England. He also completed the Ford Executive Development Program (Capstone) through the University of Michigan. Mr. Horlock has been selected to serve on the board of directors of the combined company because of his automotive and school bus industry experience and the results that he has achieved with Blue Bird during his tenure.

Phil Tighe Phil Tighe has been Blue Bird's Chief Financial Officer since March 2012. Before joining Blue Bird, Mr. Tighe worked for the Ford Motor Company for 36 years, holding a variety of positions that included financial control and strategic planning, both domestically and internationally, and has been stationed in North America, South America, Asia and Europe. Immediately prior to joining Blue Bird, Mr. Tighe was based in Shanghai with Ford where he was Executive Director of Strategy and Business Planning from 2006 to 2011. His prior positions included Vice President, Finance and Planning Ford Asia Pacific & Africa, CFO Ford Mexico, CFO Mazda Europe and CFO Ford Venezuela. Mr. Tighe received his Bachelor of Commerce from the University of Melbourne and his MBA from the Royal Melbourne Institute of Technology in Australia.

Mark Terry Mark Terry was appointed Blue Bird's Chief Commercial Officer in April 2016. Mr. Terry most recently served as General Manager at Yancey Power Systems, which included Yancey Bus Sales & Service, Blue Bird’s dealer in Georgia. During his time at Yancey, Mr. Terry oversaw the company’s on-highway interests, growing sales revenue by more than $150M. Yancey Bus Sales & Service was named Blue Bird Dealer of the Year in 2015. Mr. Terry also formerly led Yancey Truck Centers, a Navistar truck dealership, and Stowers Engines and Power Products, a Caterpillar dealership. Before these positions, Mr. Terry worked in corporate roles at Caterpillar for 17 years, including covering national accounts and dealer development, as well as various internal marketing positions in their Earthmoving, OEM Sales and Engine business units. Mr. Terry holds a Bachelor of Arts degree in Advertising and Marketing from the University of Alabama.

Tom Roberts Tom Roberts was appointed Blue Bird’s Chief Administrative Officer in November 2015. Immediately prior to this appointment, Mr. Roberts advised Cerberus Operations and Advisory Company, LLC, an affiliate of Cerberus Capital Management, L.P., as well as numerous portfolio companies, including Blue Bird, with respect to strategic, organizational, legal and compliance issues.  Previously, from 2006 to 2008, Mr. Roberts served as Senior Vice President and General Counsel of the Controls Group of Invensys, PLC, a global provider of automation and information technologies.  Prior to this, Mr. Roberts was a partner at Sidley Austin LLP where he advised corporations, consulting firms and other clients on a broad range of legal issues, including unfair competition, litigation, employment, governance and sensitive internal investigations. Mr. Roberts earned his undergraduate degree from DePauw University and his law degree from Northwestern University.

Paul Yousif Paul Yousif was appointed Vice President of Legal Affairs/Corporate Treasurer in 2011. Prior to this appointment, Mr. Yousif held the position of Corporate Treasurer since joining Blue Bird in 2007. Mr. Yousif's current role also includes managing Corporate Accounting, Tax, Accounts Receivables and Accounts Payables. Immediately prior to joining Blue Bird, Mr. Yousif worked for Visteon (an automotive component manufacturer) from 2000-2007, holding various management positions including Manager of Global Materials Analysis and CFO of GCM-Visteon, LLC (a manufacturing joint venture between Nissan and Visteon). Mr. Yousif holds a Bachelor of Science degree in Business Administration from the University of Detroit and a Juris Doctor and Master of Science in Taxation from Wayne State University.

Kevin Penn Kevin Penn joined American Securities in 2009. He is currently Chairman of the Board of Blue Bird Corporation, Learning Care Group, and Metaldyne Performance Group, as well as a Director of Frontier Spinning Mills. Kevin also remains Director of Unified Logistics, an investment of ACI Capital Co., LLC. Prior to joining American Securities, he founded and led ACI Capital Co., LLC since 1995. Previously, Kevin was EVP and Chief Investment Officer for a family investment office, First Spring Corporation, where he managed private equity, direct investment, and public investment portfolios. Earlier in his career, he was a Principal with the private equity firm Adler & Shaykin and was a founding member of the Leveraged Buyout Group at Morgan Stanley & Co. Kevin received a BS in Economics from the University of Pennsylvania’s Wharton School and an MBA from Harvard Business School with high distinction.

Daniel Hennessy Daniel Hennessy is the Chairman and Chief Executive Officer of Hennessy Capital LLC, a private equity investment firm he established in 2013, and Vice Chairman of Blue Bird Corporation. He was a founding partner of Code Hennessy & Simmons LLC (CHS) in 1988, a Chicago-based middle market private equity investment firm, and remains a Partner with CHS. Mr. Hennessy has served as Chairman of the Board and Director of CHS portfolio companies including Thermon Group Holdings (NYSE: THR), Penhall International, WNA and Kranson Industries. Prior to forming CHS, Mr. Hennessy was employed by Citicorp from 1984 to 1988 as head of the Midwest Region for Citicorp Mezzanine Investments and Vice President and Team Leader with Citicorp Leveraged Capital Group. He began his career in 1981 in the oil and gas lending group at Continental Illinois National Bank (now Bank of America) where he was a Banking Officer. Mr. Hennessy holds a B.A. degree, magna cum laude, from Boston College and a M.B.A. from the University of Michigan.

Gurminder Bedi Gurminder Bedi is a private investor. He served as Vice President of Ford Motor Company from October 1998 until his retirement after a 30 year career in December 2001. From 1998 until his retirement, Mr. Bedi was the Vice President of North America Truck, responsible for vehicle development and business and technical strategies. At Ford his positions included, President of Ford Argentina and Brazil, head of North American Quality and a variety of other senior management positions in product development, manufacturing and strategy. Mr. Bedi is Chairman of Compuware Corporation (NASDAQ: CPWR) and serves on its Audit and Governance Committees. Mr. Bedi is a Director of KEMET Corporation (NYSE: KEM), serving on its Governance and Compensation Committees, and Actuant Corporation (NYSE: ATU), serving on its Governance and Compensation Committees. A graduate of George Washington University with a BS degree in Mechanical Engineering, Mr. Bedi also earned an MBA degree with a concentration in finance from the University of Detroit. Mr. Bedi serves as a Director to the Blue Bird Board because of his experience and education in finance, which lends pertinent skill to the Audit Committee and to the Board of Directors generally. Moreover, with his strong background in the automotive, truck and bus sector, Mr. Bedi provides the Company and the Board of Directors with in-depth knowledge of the industry.

Chan Galbato Chan Galbato is the Chief Executive Officer of Cerberus Operations and Advisory Company, LLC (COAC) and former Chairman of Blue Bird Bus Holdings and Blue Bird Corporation (2009-Q2 2016). Prior to joining Cerberus in 2009, Mr. Galbato was President and CEO of the Controls Division of Invensys plc. Prior to this, he served as President of Services of The Home Depot (2003-2005); President and Chief Executive Officer of Armstrong Floor Products (2001- 2003), Chief Executive Officer of the Choice Parts venture (2000-2001); and Chief Executive Officer of Coregis Insurance Company, a GE Capital company (1998-2000). Prior to that, Mr. Galbato held various leadership positions within General Electric's technology and industrial businesses. Mr. Galbato currently serves as Chairman of Avon Products, Inc. (NYSE: API). He also serves on the Board of Directors of DynCorp International, New Avon LLC, Staples Solutions B.V., and Steward Health Care, LLC. He previously served as lead director of the Brady Corporation (NYSE: BRC), Chairman of Guilford Mills, Inc., Chairman to North American Bus Industries, Inc., director of Tower International (NYSE: TOWR), and Chairman of YP Holdings, LLC.

Douglas Grimm Douglas Grimm is Owner and President of V-to-X, LLC which is focused on advising and investing in the mobility sector. Most recently, Grimm was President & COO of Metaldyne Performance Group (NYSE: MPG), a $3 billion automotive metals supplier with 60 manufacturing plants in 13 countries and 12,000 employees.

Mr. Grimm started with Chrysler Corporation then transitioned to the automotive supply industry culminating in global CEO experience with 20 M&A transactions in 33 years. He has led turnarounds, private equity relationships, integration, raising capital and driving profitable revenue growth through organic and inorganic means.

Since 2008, Mr. Grimm founded and transformed Grede Holdings LLC ($1 billion in sales) where he was Chairman & CEO. Subsequently, he led Grede through a private exit then a three-way merger followed by an IPO in 2014 and eventual sale to American Axle (NYSE: AXL) in 2017. Grimm has been recognized as an Ernst & Young Entrepreneur of the Year, by Crain's Detroit for best large deal of the year and has also been Chairman of the OESA and MEMA (automotive parts trade associations comprised of peer group companies and customers).

Mr. Grimm is currently a member of the Board for Blue Bird Corporation (Nasdaq:BLBD) the nation's leading independent school bus manufacturer, a Board member for an independent metals manufacturer that supplies the trailer industry and an advisor for Mojio (a Silicon Valley based connected car software firm).

Mr. Grimm holds a B.A. degree in Economics & Management from Hiram College (OH), where he is a member of the Board of Trustees, and an M.B.A. from the University of Detroit.

Michael E. Sand Michael Sand joined American Securities 2005. He is currently a Director of Blue Bird Corporation, Fairmount Santrol, Global Tel*Link, and Unison. Prior to joining American Securities, Michael worked at Goldman Sachs, where he focused on M&A and strategic advisory assignments. He received a BS in Economics from the University of Pennsylvania’s Wharton School of Business and an MBA from Columbia University's Graduate School of Business.

Alan Schumacher Alan Schumacher was a member of the Federal Accounting Standards Advisory Board from 2002 through June 2012. Mr. Schumacher has 23 years of experience working in various positions at American National Can Corporation and American National Can Group, where from 1997 until his retirement in 2000, he served as Executive Vice President and Chief Financial Officer, and from 1988 through 1996, he served as Vice President, Controller and Chief Accounting Officer. Mr. Schumacher serves as a Director to the Blue Bird Board based on his financial and accounting expertise (including his qualification as a financial expert), experience in the oversight of financial reporting and internal controls, experience as an officer and director of public companies and his knowledge of Blue Bird. Mr. Schumacher has served as a member of the Board of Bluelinx Holdings Inc. since May 2004, and is a member of its Audit and Compensation Committees. He has served on the Board of Directors of School Bus Holdings (doing business through its subsidiaries as “Blue Bird”) since 2008 and continues to serve as a Director on the Board of Blue Bird Corporation. He is also a Director of Evertec Inc., Quality Distribution Inc. and Noranda Aluminum Holding Corporation. He is also a member of the Board of Managers of Quality Distribution LLC. Mr. Schumacher was a Director of Anchor Glass Container Inc. from 2003 to 2006, and of Equable Ascent Financial, LLC from December 2009 through February 2012.
